That is a horrible price. Take a look at the kelly blue book value before you buy (www.kbb.com) look at the price you should expect to pay at a dealer. You can get an '04 sk2 for 33 or 34k, why would you pay almost 27 for an '01 with 46k miles on it. The car you are talking about should not be more than 21,500 according to kelly blue book.
sorry should have mentioned that the 21,500 is the MSRP you can find at a dealer. The trade in value for the car is ~ 17,500, so you should be able to get a price somewhere in the middle of the two.

$21>$22K is a reasonable price for this deal. Anything more is a waste. Don't expect to get a convertible(especially an S2000) this time of year for less than retail.
