I think you need to provide some more details like how much you owe, if anything, on your 04, quotes you may or may not have received on a TL-S, your financial situation, etc.

and it also depends on what type of mods. if you want to supercharge it, new exhaust, J-pipe, RSB, etc... but even with those mods, i doubt it would be more expensive than purchasing a TL-S. unless you go all out with modding lol.

from a financial standpoint, getting a tl-s... pointless
if you were to start modding it hard
s/c - $5k installed
exhaust - $700-1000
cai - $150-250
tb spacer - $120
suspension - $200-900
aspec lip kit - $700-900
tints - $150-250
wheels and tires - $1000-5000
jpipe - $350-400
3rd cat delete - $125
smaller battery (braille or odessey) - $150-200
guys feel free to add to it if I missed something

Think of it this way:
Whatever you mod is going to cost about the same on a TL-S or the '04. CAI, Exhaust, etc.
When you sell/trade you won't get much for the mods, especially at a dealer or to a soccer mom.
So the only difference is the cost of the payments minus the equity. On the '04, it's ALL equity. On the TL-S, it's basically ALL payments.
Modding wise the lowest cost is to mod the '04.
Financially, the smart thing is to invest the amount of your previous payment plus all mod money in Oil and Gas stocks and derivitives. lol.

how many miles are on the car?
how long would you plan on keeping it?
those two big questions need to be asnwered.
If I was you I would probably supercharge the car, j-pipe,exhaust, spacer, tires/rims ,suspension and body kit. Maybe even do some stuff like get the new side view mirrors, TL-S taillights & sidemarkers.
Only problem I would see is if you want to sell the car in a couple years. If that is the case then probably trade up and get a TL-S and you can get the TL-S for around 34k not 37k. If you plan I driving the TL for awhile start the modding
