i was at an acura dealership today and got an offer of of $32900 from the dealer for a 5at/nav, i m also getting tinted windows, 3m coat on the hood/bumper/rear view mirrors, and oil changes for life. this is the take home price so it also includes all the essentials (block heater, mats, ect.) and what i just mentioned above. It does not include the tax though. so is this a good offer or not?

I don't know how car prices are over in Edmonton, but in comparison to the bay area prices of the TL's sold here, you seem to have gotten a fairly good deal. It seemed like ever dealer around here wouldn't budge below MSRP for the TL's. Then again, I got my TL about 2 weeks ago instead of when they first came out. You're basically paying the msrp prices of non-NAVI models sold here in California. But check out the other dealers around your area (again, I don't know much of the car prices around the Edmonton area). Bargain with them and tell them that such and such dealer is offering such and such for such and such price. Who knows, you might get more if you shop around. I for one opted for the 6-speed/ NAVI. If I had only gotten your deal.....
Canadian TL pricing
In Canada, there is an organization called Automotive Protection Association (APA). They are the consumer watchdog for cars (similar to the Consumer Reports - except they do not publish a magazine). I think there website is www.apa.ca. They are the guys who did an undercover with CTV news on car repairs across Canada. I was a member seven years ago when buying my 1st Gen TL.
Anyway, they offer services to member for finding a dealer who will sell a car in a certain price (similar to the Saturn pricing - I guess). Since you live in Edmonton, it is likely that they will have someone in an Acura dealership. I think they also offer car pricing info to non-member for a fee. Check out there website.
They also has a fairly good section on tires. I found it useful when deciding tires for my 1st Gen TL. Since you are living in -20 C winter, you may want to check out the winter tire section. I do not think any of the 3rd Gen TL tire can handle the Canadian winter.
(NOTE: APA suggests the Michelin Pilot Sport A/S is a bit more expensive than Bridgestone RE950. In fact, the reverse is true - Michelin is a bit cheaper).
In Canada, I found it is quite common for Prairies dealer to include the following with the 3rd Gen TL MSRP - lock wheel nuts, block heater, rear mud guards, floor mats. But then everything is negotiable.
If you are looking for options pricing, check out the Build TL section under www.acura.ca. They list all the options with the MSRP. They even offer a Bridgestone Blizzard WS-50 with stock alloy rim or the Bridgestone LM-22 with stock alloy rim.

Sounds like a great deal, especially with all the add-ons. It's doubtful that you'll get that kind of pricing on an '05, and with no major changes expected, I don't think you'd be sorry getting an '04 this late in the year. If the color combo is acceptable to you, and you're not pining for a 6MT, then I'd go for it.
That's a great deal, I got one here in Boston in Anth/Camel/AT/Navi for 33K out the door not including taxes or the oil changes for life. I'd definitely go for the deal you got. I was also torn about the 04 vs. 05, but the $$$ factor is certainly there for the 04.
