but lately i have been using shift lock to release my transmition to get into D.. its not everytime but
it happens about at least couple times in a week..
is that the sign of my transmition dying??

i dont think so, i would assume it hase something to do with the linkage between the key or the brake pedal. you may (if your able or willing) to pull the center console out and see if a cable or any thing is sticking.

Based on my experience with our 98 Accord V6 which exhibited the same issue, it is not a transmission issue at all.
It should either be your shift lock release, or you have a bad brake light switch.
The car has to know that your foot is on the brake before it will let you move it out of park. If the switch is defective sometimes it will cause the exact problem you describe.
