I have a DEI Viper 550ESP with remote start and windows. I love it! Arm, all four windows will roll-up. Have option on remote to roll-down just the front two windows. The alarm also has a shock sensor, trunk release, glass sensor and proximity sensor. Why would you need the factory alarm still?
Just remember that for a remote start to work on our TL's, you'll need the extra module that holds a key! Since our keys are programmed for the ignition.

Hey, how much did it cost for your DEI alarm installed? I'm especially interested in how much trouble it was to wire all the power windows.

Its expensive - I spent over $1k. The door modules are like $120 for 2 windows, plus labor - they have to go into each door. But I also got a bunch of other stuff like motion sensors, etc. Once they did my windows I came back later and had them hook up my sunroof to close on arm (doesn't open from remote though) and that was cheap ($75 I think) because they just needed a switch and a timer.

Proximity sensor is really for convertibles. It's basically a two stage motion sensor. If someone walks by my car real close, it will chirp several times. If my windows are open, and they reach in, alarm will trip. I have an option to shut that option down when arming my car.
I paid around $1300 for everything. That's including lifetime warranty on alarm and installation!

My prox is set pretty sensitive. The outer sensor is set to about a foot or a foot and a half. If you park next to me, getting out of your car or just walking by will trip the outer motion sensor. The outer sensor is 5 chirps. If you don't move away within a few seconds of the 5 chirps it sets off the alarm.

I turn off the outer sensor when parking in front of my house because I live on a narrow dead end street and it chirps everytime a car goes by. But for other places, like mall parking lots, etc I think it helps tell people to watch themselves so they don't scrape my paint. Plus it lets a theif know I have an alarm without them having to break my window.

Cool

a prox sensor can be set for various sensitivity levels... but it's kinda annoying when people have them set fo that standing next to the car will trip the alarm...and my alarm comes with an LED light so people can see i have an alarm before they break my window...

If the proximity sensor works by emitting and receiving radar signals, then the cops' radar gun will set it off. I know because I'm using a Clifford radar proximity sensor. If a cop car has its dash radar switched constantly on and drive by my car, it will trip off my alarm.
