Tranny just died.

Tranny just died.
97 Acura CL.3.0 liter auto.260,000 km's.
I was driving along at about 90 kph when my rpm and speedometer gauges went up and down on their own.I tried to give it gas,but nothing.I pulled over.No forward gears were working and reverse worked a bit.Before I go for the tranny rebuild or get stiffed at a garage,could it be anything other than tranny failure?
Fluid is in the tranny.About 2 weeks ago I was getting a grinding sound from from around the belts area under the hood on passenger side.Went to my mechanic but the noise was gone by then.
Any ideas appreciated.
