Honda/Toyota > VW
Acura > Audi (for what you're paying IMO)
Lexus > Benz
Benz's have toooooooooooooons of issues; and these issues are more than a mere rattle here or there.
If i wanted luxury, i'd take a Lexus > Benz 9 times out of 10 (the 10th being the SL and/or the SLR

In terms of Value
Honda/Toyota > VW
Acura > Audi (for what you're paying IMO)
Lexus > Benz
Despite the fact that my parents own 2 E classes (which actually never gave us any problems), the other Mercedes we've owned in the past gave us tons of problems.
My 1st car (ML320) was junk compared to the TL. I had issues right out of the lot. My TL has about 6000 miles and so far nothing. I think I had to bring the ML in about 4, 5 times before it even it 3000 miles. The new MLs, however, are beautifully made. I've test driven one, and have driven my neighbors.
If i wanted luxury, i'd take a Lexus > Benz 9 times out of 10 (the 10th being the SL and/or the SLR

GS < E class (by a margin)
LS > S class
RX = ML (IMO)
However, for the deal you're getting, i'd probably step down and take the Benz.
