I just paid $26k for a TL-tech (non SH-AWD) with 23k miles. I thought that was a good price, but what you're looking at seems better (granted, double the miles, but AWD and 2k less).
That said though, this is my first Acura as I've been a Jetta guy, so somebody may have better insight.

I've been looking at that age/type of car for a while. With 40k I would offer 23k or less. It will need brakes soon and a battery. If the price is 24k out the door, then you are doing good.

When I shop for a car, I find 3 or 4 cars in a 100 mile radius that I like. I negotiate with the dealers via email, get some bottom line prices so you get a feel for what the real market is. Based on that, you should be able to make a good offer on this car. If they are asking 24k, tell them you have a dealer who's willing to do 22,500(or whatever other low price you may have gotten elsewhere) but they are really far away and you would prefer to buy from the local dealer. They will work with you. Try it.
Because there are so many TL's on the market, you should be able to negotiate them down relatively easily. The key is to work out a OTD price before you even walk into the dealership. So your agreeing upon a price based on the condition of the car being EXACTLY as they say it is. And if it isnt, you either offer less in person or walk away altogether.

OP here's the thing you need to consider. As far as ASKING price is concerned, its a good deal and competitive. However, the market is FLOODED with TL's. Even AWD TL's. Maybe not your immediate area, but expand your search area and you will find many TL's available.

I'll second that. I just purchased a 2012 AWD Tech and paid little over what you're considering but the car had 26500 miles at the time of purchase last week. Sounds like a decent deal.

It wont take more than a couple hours of your time calling a few and hammering them down on the price. See who wants to deal and hope they are the one that has the car you want. Another reference - 2012 TL SH-AWD tech, 40K miles, 6A, Acura certified with the body and tires in really good shape. Bought it for $25.5K out the door ($1K of that is taxes). It depends on where you live really, but that's not a bad price.
