I think it would be a lot easier to put a 02-03 TL-S engine in the car if you were planning on swapping something...only a 10 hp difference ...

You will have to rewire the entire car. And that'll cost a ton of money by itself. Plus you have to think about redoing the engine and transmission mounts, and fabricate custom interior pieces to accommodate the 3G shifter console.
It's possible if you have a big bank account. But you'll be better off just buying a 3G TL.
Now doing a Type-S engine swap would be easier because the structure is still the same. You will still have to rewire some parts of the car, but most will be reuseable since the basic functions are the same. However, you will have to make new wiring for the VSA and its sensors, and the control module for the secondary throttle body. The Premium also had a 2-channel ABS whereas the Type-S had a 3-channel system. I don't know if you can keep that and make it work, or redo it. But my guess would be that you would have to redo it, in order the make the TCS/VSA function properly.

The TL-P has a 3-channel system (individual front channels, one for both rear wheels) and the TL-S has a 4-channel system (individual channel for each wheel).
