whats the difference between this and the CAI? any worry about water intrusion?... difffernce in noise??...

The difference is where the filter media is kept. A CAI has it at the bottom while an ICEBOX setup is basically a sealed container surrounding the short ram. A tube from this container then flows down to the bottom just like the CAI setup to collect cooler air. Personally, I'd rather go the icebox way for plain convenience when it comes time to clean the filter, although I'm sure there are ways to make the ICEBOX less efficient if the seal is not tight enough lettting hot air in.
