Depends on which side.
A 2002 CL driver side airbag will fit '99-'01 TL's only. '02-'03 TL has a new design.
A 2002 CL passenger side airbag will fit '00-'03 TL's only. '99 TL had a different design.
Technically, there's nothing different, except for a new badge on the newer driver side airbags. As for the passenger side, all TL's share the same airbag, except for the '99.

Well, the passenger side will fit for sure. The driver side, as far as I know, the only difference is the glossy emblem in the center on '02-'03 TL's that was a part of the redesign into UA5.
I'm 95% sure that the driver side will fit with no problem, but you won't have the glossy emblem. I'm 100% sure that the passenger side will fit.

The best way would be to check the plugs as well as the size/shape of the airbag. If they aren't the same, then it's a waste of time, plus you don't want to be splicing together wires on airbags.
