whoosh - whoosh - whoosh Grinding Sound on Acceleration???

Has anyone else had this problem? :

I have a 2002 CLS stock with 50K miles that has this problem:

At speeds between about 20-45 mph, any acceleration causes a grinding sound like "whoosh ... whoosh ... whoosh" (about two or three whooshes per second).

Key point: Letting up on the accelerator or braking or coasting causes the sound to go away.

Light acceleration (say going 30 mph and accelerating to 35 mph) also causes the sound to occur.

It does not do this in park with revving the engine.

It is just out of warranty (except for the transmission) and I have an appt. next week to take it in to the Dealer. The Dealer checked it today during an oil change and heard the sound but couldn't determine what the problem was today. They did check these items: motor mounts, brakes, wheel bearings, tires, and the other normal visual inpection things.

It must be drive train related. If it is the tranmission it is covered. It was replaced at about 20K miles, so this is the second transmission.

Any ideas if it is something other than the transmission?

A followup on this problem in case anyone else has the same symptom:

Took the car in to the dealer today and the problem was ............... transmission !

Transmission #3 on order

I have the same problem I took it to two different dealerships:
Dealer #1 said it was a normal sound.
Dealer #2 prepare your self for this, said that it was due to carbon build-up in the intake system, and they wanted to charge me $500 to remove my intake to clean out carbon. They also wanted to charge $150 to put a cleaning agent in my tank as well. The service writer asked me if I put lower octane gas in my car.

I responded to the dealer with I only use Shell because Honda rated them as one of the best for Honda vehicles, and no I am not paying $500 for you to take my intake off.

I am not a mechanic, but I am not an idiot. If I had carbon build-up my valves would be tapping, and I would hear the problem in park while revving the engine. While the car is under load I hear a faint rattling sound while accelerating. I can hear the rattling in ever gear, even more so while going up an incline.

Any suggestions?

how does carbon build up happen... i have a CAI, Megan Headers and Magna Flow mufflers and i only use 93 octane. When i am parked sometimes i hear some very faint ticking. It sounds like when you tap ur pen against the desk very quick but its very faint. Is this normal?
