There will always be losses in power. Cls usually run about %25-%30 loss.
Just get some headers and you can make up for some of that loss.

The headers will give you the most HP for the CL-S. You don't need the exhaust. The CL-S already has a well tuned exhaust. Adding an aftermarket one will only net you 2-3HP.

The CAI would probably work better with the headers than by itself. The exhaust on the CL-S is supposed to be a very clean flowing exhaust and is probably not worth the money to have it upgraded.

then what about intake????? abd will it waste more gas if i only have hearders?????
You do know that all these free-flow bolt-ons can actually improve gas mileage....provided you drive like miss daisy!!! Otherwise, once you get more power...you want to gas it more and more...that's where your mileage goes to hell.

Think of the engine as a "water pump". Changing to a less restrictive intake/header/exhaust will increase the efficiency of the "water pump", thus allowing more "water" to flow through, as well as decreasing the work load needed to overcome resistant.
