IMO, if you prefer the looks and handling stick with the CL; if you want better straight line acceleration than what you have now get the Maxima, especially if it's a manual. Both cars are good and at the same time both cars have issues. Personally, I prefer manual transmission in any car and for me that would make it easier to decide.

It has better springs, struts, shocks, and wider tires. So i mean yes it does have multi-link beam rear suspension, but if you put a stock 97 CL on a skidpad and a 99 Nissan Maxima SE, the maxima would most likely win.
If it was me I would still take the Maxima.

Find a sweeping curve with a pothole or two and try it with both cars and see what the back of each car does when you hit the potholes - Maxima will bounce outwards and CL will stay planted. This is just one example. I have been driving both cars for years, so I have a pretty good experience with both cars.
