Racing catalytic converter and headers

I know it's another question. If I buy Headers and a racing catalytic converter for a 94-97 accord will it fit perfectly on my CL 2.2 auto with no mods to do?

the only high flow cat that will be a direct bolt on is a random technology. carsound has no flanges and almost all the others do not have a mount for the 2nd 02 sensor. 97+ cars are OBDII and we have an 02 sensor in the cat.
