MDX WITH 31,600 miles dealer is suggestion transmission fluid change because i mentioned that my engine revs between 2000 & 3000 rpms when driving?
I also mentioned that i am hearing a rear end noise when driving, they are suggesting replacing tires because of cracking and changing rear axle fluid.

I purchased my 11 MDX with about 30,000 miles and my OEM tires were noisy, the X didn't ride very well at hwy speeds, uneven wear, and had a lot of cracks in the side walls. New tires and alignment solved all those problems. I went ahead and did the 6AT, transfer case and sh-awd rear diff change (along with engine and brake fluid) when I got my MDX just to start with fresh oil.
Since you have an Adv model, you might want to check into an Acura Care warranty just because of the magnetic shocks.

I will be doing that...I have until next year October 2016 or 18,000 mile for factory warrenty to run out. The dealer wants $189.88 for rear axle service and $114.96 for transmission change. Is there anything else i should have them do?

It took me a couple of months of driving to figure out everything I needed to get fixed on my X and most covered by the basic warranty like:
- driver 1 key fob replace
- rear cup holder stuck
- rear wiper blade plastic cover on arm joint
- alignment
- charging system reflash
- 6AT reflash
- passenger seat heating pad
- HIDs aimed too low
- HID replacement (not bright enough)
- last week, new battery

They should do the transfer case near the transmission at the same time. I think my dealership charges me about $60 for the transfer case. The $115 6AT fluid change sound like what my dealership charges. They just do a 4 quart drain/fill instead of the 3X drain/fill that is recommended. Since I change my 6AT/Transfer case oil every 30,000 miles (about 18 months on avg), I'm fine with the 4 quart drain/fill. That oil change schedule has worked fine for my TSX/RDX with +125,000 miles each.

The alignment, rear wiper blade cover, HID replacement, and battery came out of my pocket. Only time an alignment is covered is when you do warranty work and a alignment is needed (ex; replacing suspension parts like shocks).
