Getting her butt in the gym
here's what you should do:
the next time she comments about her weight or apperance, say, "honey, i love they way you look, but if there's something you're unhappy about, you should work to fix it. i'd love to have a working out buddy and want you to come with me. if you want, we can devise a plan." show her some different work out plans.. you can get them online at like exercise.com or something like that. tell her there are different things she can do for whatever results she wants.
as for eating habits, tell her YOU want to start eating healthier and suggest that you could both keep tabs on each other. b/c honestly, aside from appearance/attractiveness, if two people love each other, they should look out for each other.
eating healthy and exercise all the time should give her good results, and then she'll stick with it. that way, you'll have a hot girlfriend for a very long time.
this is all coming from an exercise science major/healthy eater/work-outer though
oh, and one more thing, grab her love handles or pinch her stomach roll! that always gets us girls... lol.

I like the previous suggestion about going hiking... or kayaking (or some other paddling sport) or cycling or ..... There are a lot of ways to get your exercise without actually going to a gym.
If she isn't comfortable going to a gym with you, perhaps she would be interested in an all-women's gym? Curves is a good way to get started with a workout routine (although they are lacking in the cardio department, from what I have heard.) I now go to the gym 5 days a week, but when I first started out, it was easier to go to an all-women's gym. I didn't feel as self-conscious.
