if your talking about a 2009 SHAWD and a 2012 SHAWD.. i think their both the same. ive personally driven both, seems the same, only one difference i see is that 2012 gets better mpg.
and if you get the advance pkg, you get cooled seats.

Just the smooth shifting 6AT by itself on the 2012 is more than worthwhile to warrant trading in the pre-MMC 5AT TL.

6AT is much smoother, a little quicker. everything else is the same, but you can opt to get the advanced package with cooled seats and blind spot monitoring.
despite my track record, i do not plan on getting a 2012-2013 TL... I will wait for the 2014, or the 3G RL/MDX as my next car. MMC 4G is a step backwards in terms of styling in my opinion... i prefer my 2010 over the 2012... just wish i had those cooled seats!!

Except my non-scientific comparison between a 2012 and a 2010, suggests that though the 2012 will be a shade quicker, the '09 because its a couple hundred pounds lighter, will feel a little nimbler. You should drive them back to back be sure.

I owned a 2010 SH-AWD + Tech before I got this 2012 SH-AWD Advance. I feel that the 2012 is faster off the bat, the gas mileage is obviously better and somehow it's clearly quieter. Even with the 19" wheels, my 2012 SH-AWD Advance IS noticeably quieter than my 2010 SH-AWD!!! I also feel that the 2012 SH-AWD Advance absorbs shock better too. I don't know why all these seem to be improved, and I don't have any objective evidence for these changes, but I am really enjoying these improvements.

The inside cabin of the 2012 has got to be quieter than those pre-MMC TL's.
In the 2012 TL launch press release, Acura explicitly mentioned that the 2012 has added sound insulation in critical areas in order to make the cabin much quieter than the previous years.

I saw this when browsing the 2012 vs the 2011. The 2012 has this extra line under "features":
"Improved body sealing for 2012 reduces road noise."
I doubt that's the only thing they did, as the 2012 SHAWD Advance I test drove was about as quiet as my 2010 base, maybe even quieter?
it also apparently has a battery management system?

YES! I forgot to mention this. It really is a much smoother and quieter ride than my 2010 SH-AWD.

Below is a post I made a few days ago about my experience with the two. So many people commented that I seemed to be wrong in my impressions, although I remembered reading much of what has been referenced in this thread. I know what I experienced (below), and I think maybe those who responded were just defending their cars, if that makes sense. Anyway, yes, the 2012 felt better to me in several ways, and I've had a lot of Acuras.
Brought my brand new 2012 TL in, just drove a 2011 loaner, and wow!...
So yeah, I brought the '12 in after two weeks of ownership to get the splash guards put on and the tail pipes leveled, and drove a 2011 TL home through Benedict canyon here in LA, and man what a difference.
My sixspeed SH-AWD compared to the '11 five speed FWD - ridiculous how much more refined, responsive, and nimble the '12 is compared to the '11
The taupe interior and non-navi center stack in last year's nob and button design, compared to my umber perforated leather with the tech package and the new center stack improvements - geez, the improvements are a sharp contrast
As for the uneven tailpipes - yeah, I'm pretty picky, but a $43,000 car deserved level and even tailpipes. Sorry Acura, but this was not acceptible.

The smoother ride has already been acknowledged many times over, nothing new.

...what are you smoking?
how can you compare the two.. especially saying that a fwd has better response than a SHAWD..
you my friend, need to get rid of your SHAWD... and get yourself a FWD.

actually the 6AT is NOT smoother. whenever i take my acura to dealership for maint they give me courtesy car. it used to be 2009-2011 TLs last time was a 2012 and i found the upshifts over 3500rpm rough on the '12. the transmision sometimes made clicking noise but it was hard to tell it could have been smt else didnt have much time with it to investigate. and oh the 6AT is NOT quicker, proven by caranddriver 6s 0-60 vs 2009' 5.5 0-60. it does help in highspeed passing though +60mph. it's true they added a gear but they toned down the axle ratio to balance it for fuel economy, it has quite similar gear ratios to the camry AND its NOT a dual clutch.

however the 6 speed manual is a different story, much better gearing and no torque converter. thats why the 6mt gets worst mileage its not tuned for economy.

I think what you're not getting is that the car is the same as pre MMC, just with a 6-speed AT and other small changes for both FWD and AWD. Engine displacement is the same. But as for comparing your car (2012 SHAWD) to the loaner you got (2011 FWD) ; hands down the SHAWD is already faster than the FWD 5AT/6AT. Of course the 2012 gonna feel "ridiculously more refined, responsive, and nimble". ITS AWD for crying out loud!!

No kidding, I was on a trip to visit my folks this weekend (about 3h away) and averaged 6.9L/100km on the way there and 7.3L/100km on the way back!! This includes even some city driving as I would cros various little communities. This is ridiculous mileage for a 305hp car....

Just like weather, I am very happy with the 2012 TL SH-AWD gas mileage too. I just came back from Edmonton (3 hours away from Calgary). There were 3 adults in the car, and the trunk was full. Guess what, I got 8.3 L/100km, which translates to over 28 mpg!!! This was mostly highway.
