Mine happens at, give or take, 3000 RPMs in 3rd and 4th gear. I've never noticed any problems shifting, except one time it slipped (although I may have been a little jerky on the gas and "confused" the transmission).
Besides the very slight whine, which my girlfriend can't hear (but the Acura service department did agree with me), the car is in EXCELLENT mechanical condition.
Some additional info about my car:
I'm at 121,000 miles, have maintained the car exactly as required (incl. the 105k tuneup). I use fully synth Mobil 1 5w-20. OEM for all other fluids. Not a drip or a burn to be found.
I had to bring it in for the power steering hose recall the other day after noticing some very scary blue-ish smoke coming from the engine bay. Turns out the PS fluid was dripping onto my exhaust and smoking a lot. Instantly fixed that with the free recall replacement.
While at Acura I test drove the new ILX just for shits and giggles. They did a fantastic job with that car, and I could definitely see myself driving it if I wasn't taking such a step down from my current 270hp to a 2.0L 150hp.

Scary that you think the ILX is good... It's based on the CIVIC chassis and has lots of plastics and hard materials everywhere... Worse than the TSX. Not only are you taking a step down in power but also in interior build quality.
And the fact that you "think" your TL has 270HP already gives me a clue that you aren't really that knowledgeable about your own 3G TL..

At what mileage did you become the owner of the car? Did you ever change the trans fluid out to redline ATF or are you using the OEM honda fluid (Z1/DW1) ?

It's a fucking base model $26k Acura. What do you expect? It's leaps and bounds better than a Civic and I don't give a shit what chassis it's based on. Plastics? Have you looked at, sat in, driven one? It's not a piece of shit like you're implying.
Finally, wtf? 270hp? You're really coming off like a douche you know that? Just say what you mean instead of leaving open ended shit like that.

Mine has had a faint whine from the day I drove it off of the lot with 8 miles on it. The noise hasn't gotten any worse, in fact, it got better once I put the slightly thicker Redline Racing fluid in at around 75,000 miles. Currently at 111,000 miles. I rarely notice it, the stereo is usually on but once in a while I'll listen for abnormal sounds.
If I had bought it used I might be worried but since it was there since new and hasn't gotten worse, I don't worry at all. My passengers have never noticed it. As long as it's not immediately noticeable to passengers and as long as the trans dipstick has no metal on it, I wouldn't worry about it.
Almost forgot, when the new government hp ratings came out, the TL dropped from 270hp to 258hp. The hp didn't actually change but the standard was changed to be more realistic of real like. The stock intake and exhaust that was going to be run in that particular car had to be bolted to it on the dyno, along with AC, power steering and all of the normal power sapping items. The new system is more accurate. This was every car sold over here. Ironically, I believe the Vette picked up hp.

It's based on the Civic chassis. What's your point? Acura, Lexus and Infiniti, just to name a few, have been doing this for years.

Mine has been around for a while. I bought it at 30000 and I don't remember hearing that noise when I purchased it. I'm now at 142000. I think I started hearing it around 90000, but I'm not sure exactly.

Again, I'm not comparing it to the new TL. I'm just saying it's a nice, affordable alternative for someone who can't fork up $479/mo for a new TL Tech.

honestly if I ever have to buy another car it won't be Acura product unless they release some thing that wow me. The new TL only good if you got SH-AWD with advance or Elite package (with ventilated seat and among other goodies) other than that it not better than any of the competition.
The advantage of the current TL are 1. Amazing SH-AWD, 2. MPG, 3. Navigation.
The disadvantage are 1. No direct injected engine, 2. lowest HP and TQ output being at 3.7, 3. nothing else is special (wow factors) about the technology that current TL has to offer.
Lets see if the 5th gen TL really can wow me since the new accord is already some what impress me.
ILX is good for some college student who just graduate and got a job looking for a good car that doesn't break down on them or grany. Other than that I would spend $27k somewhere else even buying used car, the ILX is nice compare to civic in term of cabin noise reduction and built quality but compare to TL standard it kinda looks like crap, the interior is too small for being a family sedan (well at least for me), engine is weak as hell and the 2.4 offer no tech package (WTF really Acura) and being $33k for top model isn't help the car sale also. I test drove 2.4 with MT and the sale man trying to get me trade in my TL-S but I am not buying that one.

The new TL gets 17/25mpg, pretty mediocre. The handling isn't that great. Acura added a ton of weight and 99% of the drivers out there don't know how to exploit the awd except in bad weather.
