I'm having a major dilemma!! Used Gs400 or 2003 TLS?

Get a certified GS400. I think a 99 with 35K miles for $27K is a very good deal, esp. if it's certified...a steal.
Drive the car, it'll "move" you! As a 540i SP owner, I was very impressed with the GS430's handling. IMO, def. a myth about GS4's being floaty. They are IMO as capable as a 540i in terms of handling.
When you get sick of the GS4, you can always go for a 540i

In that case I'd use the opportunity to enjoy a more nimble automobile.
eg. Drive an IS300 and a GS400 back to back and you'll see that they are quite different in how they feel.
The GS is about as sporty as a car of that size can be but it's still a boat.

g35 HAS 260HP, 350 FAIRLADY has 280hp, G35coupe 275 I believe.
Yes the IS is a simple joy to drive, I love getting one as a loaner or for a test drive.
But I can take my car on a power lunch at work with 4/5 people and you can't do that in the IS to tough. And the trunk is pretty large to me in the 400, when I go outta town, this helps.

payment, or possible marriage costs then go for it. But, 40 bucks
in debt is a big depreciating hole. Figure you make $1200 dollar
a month payments on that debt you'll be at zero cash value at
age 29 or so. Don't want to be a hater... just some scary stuff to
think over.

If Mr. Bo is making 50k before tax... I gotta agree that $30k+ car is going to be a life style changing purchase. Since he seems to be single (take home about 34k or so), insurance + car payments would most likely be in $800 a month range. The debt ratio will be in 25% range or higher. Most of people I've known at that range can't afford other things in life too freely. (granted the person is saving)
Now, if he is making 50k after tax... totally different story. I myself only makes about 60k after tax and have no problem paying 2 car bills (01 accord & 03 G35). Still saving decent amount of money on side.
