I'd check the 06' and then buy that if it's ok. Just send it to a trusty mechanic, the seller should have no problem with that. honestly, it's a honda, haha. I'm almost there myself (104,000) and I'd buy this car from me, but then again, i take care of my care. I have an 04 too. The 2004 has the problems, too. So yeah..'06 or just wait for a better deal.

I rather have a newer car with higher mileage compared to the older model with less miles. There is a good chance the 111,000 miles are 70-85% hwy miles, which is not as hard compared to 70-85% city miles.
The only things you need to worry about are:
- check it out bumper-to-bumper by an mechanic
- ensure all services have be done to date
- inpect the body for any repairs that might not be on a carfax report
- think about replacing belts, hoses, and fresh fluid for everything (steering, coolant, tranny, brake, engine)
- Have cash/credit on hand for major repairs (rotors, battery, suspension, A/C, tranny, engine)
This would be the same rule to follow even if you picked the 04 TSX.

I'd lean towards the 06 as well, but I'd definitely have it checked. The prior owner was into mods, and you'll want to make sure they didn't do (and then undo) engine mods that were done incorrectly.
Does anyone else think that 06 is underpriced?
I'd check around to see what other 06's are going for in your area and see if this is comparable. In the world of cars, if it's too good to be true, it is.

Make a hole, coming thru!
The 2006 is considered a sweet spot of the 1GEN, due to some MMC tweaks. The 2004's have had a few known problems (not widespread, but expensive problems nonetheless), you can read about them here.
I'd ask the 2006 owner if he's had the ECU reflashed by Hondata (and look for documentation before purchase), with those other mods, it would make sense. Remember, the 2006 is one of the model years that can be reflashed (and gained more benefits on that engine than the earlier ones IIRC).
I say that without considering the mileage/cost balance. For that, consult Edmunds, Kelly Black Book (any bank loan officer can look it up). If seller is asking for $1000s more due to mods, then that's a risky endeavor. Others here have more expertise that I on that factor. But I would personally pay no more than 50% of the mod costs on top of Kelly Black Book value. E.g. "I'm asking $2000 over KBB value because I've got $3000 (current MSRP) of aftermarket modifications installed on this vehicle" => no sale.

^^ This is what's not adding up to me.
The 06 is 2 years newer (with associated benefits over the 04), has a $800-ish suspension mod, and another $1200-ish body kit mod (I'm probably off on both of those, but should be ballpark). So the only offset is +40K miles over the 04, yet the price is the same? I dont' see how 2 years + $2K mods = 40K miles.
