OK, this might be a very stupid question, but i dont know.

as most of you prob know, my car is totalled (97 2.2)

now i would like to know if i get a 2.3, can my stuff transfer over? ( interior, coils, lower tie rod, sway bars exhaust (with piping upto the down pipe)

I would think so but since I have a 3.0 I don't know for sure.

yes 2.2's do > 2.3's

but in the end, they also > 3.0

but not 3.2

i was told different motor, different chasis?

the chassis should be similiar. The motor is only 5hp different I can't see too much difference either way. I would check the honda sites for verification.
