The sticker is 38K
I will be trading in a old beat up Chevy , there giving me $2500 for it and 1K in dealer money . $389 down and my payment will be $389 a month ..
So I'm excited about the possibility of getting this car but I'm not sure if it's a fair deal . Any answers would be appreciated. Thanks

Not sure where you are located (for competition/pricing and tax reasons), but as long as you're only down is $389, it's an "okay" deal. You should get the $2500 from your trade back in cash because if your TLX is totalled or stolen, the GAP insurance the Acura includes only covers the balance of the loan, so you will more than likely be out the $2500.
At my dealership last month, I was able to negotiate ~$385 or so before taxes (around $410 with 6.35% usage tax on payments only) for a V6 Tech FWD with the usual due at signing (first month payment, registration fees). Although, that was in Virginia where a certain dealership often likes to sell cars awfully cheaply.
General rule of thumb (in my book) if your monthly payment is 1% of the sticker price or lower for a least with 36/15 terms with minimal due at signing (first month + registration for me), it's a great deal. I managed to get my $46k Volvo S60 Platinum last month for $380/mo (including tax) with first month and registration due at signing.
